Terms of Service

1. License Grant

Upon purchase, you receive a non-exclusive, non-transferable license to use Geneziz for personal or commercial purposes. Your license key (GNZ-XXXX-... or GNZD-XXXX-...) activates AI credits and is tied to a single user, with activation on up to 3 devices.

2. What You May Do

• Use Geneziz to archive content from your own accounts and feeds (X.com, GitHub, YouTube, Instagram, Reddit, Hacker News, RSS feeds, and supported save/export tools)
• Use the AI features with your own API keys (BYOK) or with Geneziz AI credits
• Export and back up your data at any time
• Use the web viewer and dashboard for personal knowledge management

3. What You May Not Do

• Resell, redistribute, or share your license key
• Forge, generate, or attempt to reverse-engineer license keys or activation codes
• Reverse engineer, decompile, or tamper with the license validation system
• Use the product to collect data from accounts or feeds you do not own or are not authorized to access
• Use the product in violation of the terms of service of any platform you access with it

4. AI Credits

• Each license includes 100 bonus AI credits to start.
• Additional credits can be purchased in-app as top-up packs
• The $99 license fee is refundable within 30 days (see §9.5). Upon refund, all credits are deactivated. Top-up credit packs are not covered by the 30-day guarantee. Unused credits do not expire.
• Credit usage is tracked locally and server-side for cloud proxy usage.

5. Disclaimer of Warranty

Geneziz is provided "as is" without warranty of any kind, express or implied.

• Uninterrupted or error-free operation
• Compatibility with future changes to third-party platforms' interfaces and APIs
• Availability of the Geneziz AI proxy server
• Accuracy of AI-generated enrichments or descriptions

6. Limitation of Liability

To the maximum extent permitted by law, Geneziz and its developer shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of this product. Total liability shall not exceed the amount you paid for the license.

7. Data Responsibility

Geneziz accesses third-party platforms solely through (a) your own authenticated session in your browser via the companion extension (X.com, YouTube, Instagram, TikTok, Reddit, cosmos.so), or (b) official platform APIs with your own credentials (GitHub personal access token) — always on your behalf, for content you already have access to. No captured content ever passes through Geneziz servers.

You are solely responsible for:

• Maintaining the security of your platform credentials stored in the local config file
• Backing up your knowledge base data
• Complying with applicable laws regarding the data you collect and process
• Ensuring your use of each platform complies with that platform's terms of service — the choice of how you use your own accounts is yours

8. Age Restriction

Geneziz is not intended for use by individuals under the age of 13. By using this product, you represent that you are at least 13 years old. If you are under 16 and in the EU, you must obtain parental or guardian consent before using this product.

9. Termination

We reserve the right to revoke license keys that are used in violation of these terms. Upon termination, you must delete all copies of the software. Your data remains yours.

9.5. Refund Policy

30-Day Money-Back Guarantee. If you are not satisfied with Geneziz, you may request a full refund of the $99 license fee within 30 days of purchase by emailing support@geneziz.app with your order email and license key. Upon refund, your license key is permanently deactivated and all AI credits are deactivated. We acknowledge within 2 business days and process within 10 business days; the refund appears on your card within 5-10 business days. We may decline to offer the voluntary guarantee on subsequent purchases after a first refund, at our discretion. Top-up credit packs are not covered by this voluntary guarantee. This guarantee is offered in addition to, not in lieu of, your statutory consumer rights (EU 14-day right of withdrawal — §9.7; 2-year conformity guarantee; Brazil CDC 7-day arrependimento).

9.6. Taxes (VAT)

All prices are in USD and exclusive of VAT and other sales taxes. We do not currently collect or remit VAT at checkout: VAT, if due in your country, is your responsibility at purchase.

9.7. EU Right of Withdrawal (Directive 2011/83/EU)

We do not ask you to waive your statutory consumer rights. Under Directive 2011/83/EU (transposed in Portugal by Decreto-Lei 24/2014), EU/EEA/UK consumers have a 14-day right of withdrawal from the purchase of the Geneziz software. We honor that right in full — and our voluntary 30-day money-back guarantee (§9.5) exceeds it, so in practice you have 30 days from purchase to request a full refund.

The Geneziz app download is digital content and the AI credits included with your license are a service — in neither case do we apply an Article 16 withdrawal waiver, so your 14-day right of withdrawal stands in full. Under Article 14 of Directive 2011/83/EU, because we do not require your prior consent to early performance, what you paid is refundable on withdrawal: the $99 license fee in full. Bonus credits granted at no cost carry no paid balance — on withdrawal or refund they are deactivated, not cash-refunded. Credits purchased separately as top-up packs are governed by §9.5.

Nothing in this section affects the voluntary 30-day money-back guarantee (§9.5), the 2-year statutory conformity guarantee, or any non-waivable consumer-protection rights you hold under the laws of your country of habitual residence (Rome I Regulation Art. 6; Brazil CDC Art. 49).

9.8. EU Model Withdrawal Form (Directive 2011/83/EU, Annex I(B))

(Complete and return this form only if you wish to withdraw from the contract. Email it to support@geneziz.app — a paper signature is not required for electronic withdrawal.)

10. Changes to Terms

We may update these terms from time to time. Continued use after changes constitutes acceptance.

11. Third-Party Dependencies and Service Modifications

11.1 Modifications to the Service. We may add, modify, limit, suspend, or discontinue any feature, connector, capture pipeline, or service component of Geneziz, including where third-party platform changes make continued operation impossible or impracticable. Your license fee grants you the right to use the software as delivered at the time of your purchase — it does not guarantee the continued availability, functionality, or performance of any specific feature, connector, or integration. When we remove or significantly limit a feature, we will provide notice via in-app notification or email whenever practicable. If we remove or significantly limit a primary feature within the 30-day period of §9.5, you may request a refund under that voluntary guarantee. Nothing in this section limits your statutory consumer rights.

11.2 Third-Party Dependencies. Geneziz's functionality depends in whole or in part on third-party platforms, services, and infrastructure that we do not own, control, or operate — the third-party platforms listed in §2, the AI providers behind our AI proxy, and any future connectors. These third parties may at any time: change, deprecate, or remove their APIs or interfaces; implement technical measures to block automated access; rate-limit, suspend, or terminate accounts; modify their terms of service to prohibit the type of access Geneziz provides; or send cease-and-desist letters or take other legal action. We are not liable for, and have no obligation to fix, restore, or provide workarounds for, any feature that ceases to function due to actions taken by third-party platforms. The allocation of responsibility in §7 remains in force.

11.3 Updates and Maintenance. The license fee is a one-time payment for a perpetual license of the software as delivered. It is not a subscription, maintenance contract, or service-level agreement. We have no obligation to restore or provide workarounds for features that have ceased to function due to third-party platform actions, or to issue any such fix within a specific timeframe. Updates and fixes generally are provided as they are made available, with no obligation to maintain feature parity across versions. Nothing in this section limits obligations arising from mandatory consumer law, including the statutory conformity guarantee.

11.4 Force Majeure. We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of government, natural disasters, war, or large-scale internet infrastructure failures.

11.5 General. Severability: If any provision of these terms is held unenforceable, the remainder continues in full force. Entire Agreement: These terms, together with the Privacy Policy and any per-source acknowledgments you accept when connecting a source, constitute the entire agreement between you and the developer regarding Geneziz. Assignment: You may not assign your license without written consent. Survival: Sections 5, 6, 7, 9.5, 11, and 12 survive termination.

12. Governing Law

These terms are governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. For consumers, nothing in these terms reduces the mandatory protection afforded by the consumer-protection laws of your country of habitual residence (Rome I Regulation Art. 6; EU Consumer Rights Directive 2011/83/EU; Brazil CDC Art. 49). This guarantee is in addition to, not in lieu of, your statutory consumer rights.
